Terms and Conditions

General Terms

The CNID Investment Challenge (the “Challenge”) is an annual investment competition organized by the CN Investment Division (“CNID”). The Challenge provides information, resources, and registration functionalities for undergraduate and graduate students. Participation in the Challenge is free. CNID reserves the right to modify, postpone, or cancel the Challenge at any time, in its sole discretion, without liability.

 

By accessing or using the Challenge’s website (the “Website”), you agree to these Terms and Conditions (the “Terms”) and our Privacy Policy. If you do not agree to these Terms, do not use this Website.

 

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CNID regarding the Website and the Challenge, and supersede all prior or contemporaneous communications or proposals relating thereto. CNID reserves the right to modify these Terms at any time. Your continued use of the Website or participation in the Challenge following the posting of updated Terms constitutes your acceptance of such changes.

 

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

 

The failure of CNID to enforce any provision of these Terms shall not constitute a waiver of its right to enforce such provision or any other provision in the future.

 

Nothing in these Terms shall be construed as creating a joint venture, partnership, employment relationship, or agency relationship between you and CNID or CN.

Eligibility and User Conduct

To participate in the Challenge, you must be enrolled in an undergraduate or graduate program at a recognized post-secondary institution. You must provide accurate registration information and are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to use the Website lawfully and professionally.

 

Prohibited activities include:

  • submitting fraudulent or plagiarized materials;

  • misrepresenting your identity or eligibility;

  • engaging in harassment, abusive, or inappropriate conduct;

  • circumventing security measures;

  • misusing or making unauthorized use of automated tools, bots, or unauthorized access methods; and

  • engaging in any conduct that compromises the integrity, security, or proper functioning of the Website or the Challenge.

 

Investment Analysis DIsclaimer

The Challenge is provided for educational purposes only. Reports and analyses submitted by participants do not constitute investment advice, and CNID does not endorse any investment recommendations made as part of the Challenge.

 

Intellectual Property

All intellectual property rights relating to the Website and Challenge materials belong to Canadian National Railway Company (“CN”) and CNID. CNID grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Website for personal and non-commercial purposes.

 

You may not reproduce, distribute, modify, create derivative works from, reverse engineer, or otherwise exploit any Website content or Challenge materials, except as expressly permitted under these Terms. CNID reserves the right to require the removal of any content used in a manner contrary to these Terms.

 

By submitting reports, presentations, or any other materials in connection with the Challenge, you grant CNID a non-exclusive, royalty-free, and perpetual authorization to use and reproduce such content for the administration, operation, and promotion of the Challenge, including the use of excerpts, testimonials, and event recordings.

 

You represent and warrant that your submissions are original and do not infringe any intellectual property right or other right of a third party.

 

Confidentiality

Participants must maintain the confidentiality of non-public information disclosed in connection with the Challenge, including mentorship discussions, information communicated during Training Day, and proprietary methodologies. This obligation does not apply to information that becomes public, was previously known, was independently developed, or is required to be disclosed by law.

Disclaimer of Warranties and Limitation of Liability

The Website is provided on an “as is” and “as available” basis, without warranties or representations of any kind, whether express or implied. CNID does not warrant that the Website will be uninterrupted, error-free, secure, or free from harmful components, nor does it guarantee any particular outcome in connection with the Challenge.

 

To the fullest extent permitted by applicable laws, CNID and its affiliates, officers, directors, employees, mentors, and representatives shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of data, or business interruption arising from or relating to your access to or use of the Website or your participation in the Challenge, even if CNID has been advised of the possibility of such damages.

 

Indemnification

You agree to indemnify and hold harmless CNID, CN, and their affiliates, officers, directors, employees, mentors, and representatives from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • your participation in the Challenge;

  • your breach of these Terms;

  • your infringement of any third-party rights;

  • any content submitted by you; and

  • any misrepresentation regarding your eligibility or identity.

 

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Québec and the applicable federal laws of Canada. Any dispute arising out of or relating to these Terms, the Website, or the Challenge shall be submitted to the exclusive jurisdiction of the courts of Montréal, Québec.

Termination

CNID may suspend, restrict, or terminate your access to the Website or disqualify you from the Challenge at any time in the event of a breach of these Terms, plagiarism, misrepresentation, or conduct that undermines the integrity of the Challenge.

 

Upon termination or disqualification, you may forfeit any right to prizes, awards, or participation benefits. Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, confidentiality, and any other provisions that by their nature should survive termination shall remain in effect.

Social Media and Community Guidelines

CNID encourages respectful and constructive interactions on its social media platforms and communication channels relating to the Challenge. CNID reserves the right to remove any comment, content, or interaction that:

  • is offensive, defamatory, discriminatory, harassing, abusive, or unlawful;

  • contains vulgar, obscene, or misleading content;

  • constitutes spam, unauthorized promotion, or repetitive postings;

  • impersonates another person or falsely represents an affiliation; and

  • is unrelated to the Challenge or undermines the integrity of CNID’s platforms or activities.

 

CNID may also restrict or remove access to its social media platforms or communication channels in the event of conduct that violates these guidelines.
